Corporate governance in Nederland begint een eigen geschiedenis te krijgen. Op 8 december 2016 werd al weer de derde versie van de Nederlandse Corporate Governance Code gepubliceerd. Deze ‘Code 2016’ brengt veel nieuws en speelt in op ontwikkelingen rondom actuele corporate governance vraagstukken. De Code is geen statisch bezit en volgt de dynamiek in onze maatschappij.

De belangrijkste nieuwe thema’s in de Code 2016 zijn lange termijn waardecreatie en cultuur als onderdeel van goede corporate governance. In deze uitgave wordt aan die onderwerpen uiteraard uitgebreid aandacht besteed, vooral ook in relatie tot de andere onderwerpen waarin die thema’s doorklinken, zoals bij risicobeheersing. Daarnaast is de Code op veel andere punten geactualiseerd, die ook in dit boek worden behandeld.

Dit boek geeft artikelsgewijs commentaar op de principes en bepalingen van de Code en biedt daarmee inzicht in de opzet en achtergrond van de verschillende Code-bepalingen.


Reinier Kleipool

Reinier’s primary focus is corporate law, including governance, advisory and M&A. A substantial part of his practice is cross-border, reflecting his extensive experience in international transactions involving multiple jurisdictions in a variety of business sectors.
Reinier has extensive experience across the field of corporate law. He regularly advises Dutch listed entities on corporate governance matters, anti-takeover responses (including relating to shareholder activism) and various legal and practical aspects of their listing.


Martin van Olffen

Martin is acclaimed in the Netherlands for his expertise in corporate law, mergers and acquisitions and corporate governance. He has advised in virtually all recent contested takeovers in the Netherlands, assisting in developing and implementing defence strategies and negotiating settlement agreements. Martin acts as trusted adviser to one of the Netherlands’ largest retail companies, largest retail banks, and largest industrial companies.

Combined with an active practice, Martin is also professor of law at the University of Nijmegen and a regular speaker at national and international conferences. He has (co-)authored several books and numerous articles on corporate law and is chairman on Corporate Law of the Netherlands Bar Association and the association of Civil Law Notaries. Martin is also a member of the supervisory board of an insurance company.
